Terms of Use

These Terms of Use ("Terms") form a legally binding agreement between you ("you" or "User") and Vastram Studio ("Vastram Studio", "we", "us") governing your access to and use of the Vastram Studio platform at vastramstudio.com and any associated mobile or desktop applications (collectively, the "Service").

Please read these Terms carefully before using the Service. By creating an account, clicking "Get started free", or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. If you are between 13 and 17, you may use the Service only with the verifiable consent and active supervision of a parent or legal guardian who operates a legitimate business and accepts these Terms on your behalf. By using the Service you represent and warrant that you meet these requirements.

If you are using the Service on behalf of a company, partnership, or other legal entity, you represent that you have authority to bind that entity to these Terms, and references to "you" include that entity.

2. Account Registration and Security

• You must provide accurate, current, and complete information when creating your account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us immediately at hello@vastramstudio.com if you become aware of any unauthorised use of your account.
• You may not share, sell, or transfer your account to another person without our prior written consent.
• One person or entity may not maintain more than one free-tier account. Creating multiple free accounts to circumvent credit limits is prohibited.

3. Subscription Plans and Image Credits

3.1 Free Plan

New accounts receive 10 one-time image generation credits at no charge. These credits do not reset and are not refundable once used.

3.2 Paid Plans

Paid subscription plans are billed monthly in advance. Credits included in a billing cycle expire at the end of that cycle and do not carry over to the next cycle. Unused credits have no monetary value and cannot be transferred or redeemed for cash.

3.3 Pricing

Current prices are listed at vastramstudio.com/pricing. All prices are inclusive of applicable GST unless stated otherwise. We reserve the right to change prices with at least 14 days' advance notice to active subscribers.

3.4 Refunds

Given the nature of digital credits, refunds are generally not provided for used credits. If you experience a technical failure that consumes credits without producing output, contact us within 7 days for a credit restoration review. Requests for full subscription refunds made within 7 days of first purchase and before any credits are used may be considered at our discretion.

3.5 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle. You retain access to the Service and any remaining credits until that date. We do not pro-rate cancellations for partial billing periods.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You represent and warrant that:

• You own or have all necessary rights, licences, and permissions to upload any image or content to the Service.
• Your uploaded fabric images do not infringe any third-party copyright, trademark, trade dress, or other intellectual-property right.
• You will not upload counterfeit designs, designs that copy another brand's registered patterns, or content that violates any law.
• You will not upload images containing nudity, sexual content, violence, hate speech, or any content that violates Indian law or our community standards.
• You will not use the Service to generate images intended to deceive, defraud, or mislead consumers (for example, misrepresenting fabric quality or origin).
• You will not attempt to reverse-engineer, scrape, or create derivative services from the Service's AI models, APIs, or outputs.

5. User Content and Intellectual Property

5.1 Your Content

You retain full ownership of all fabric images and business data you upload ("User Content"). By uploading User Content, you grant Vastram Studio a non-exclusive, royalty-free, worldwide licence to store, process, and transmit your User Content solely for the purpose of providing the Service to you. This licence ends when you delete the content or close your account.

5.2 Generated Output Images

Subject to your compliance with these Terms and payment of applicable fees, you own the AI-generated catalog images produced from your User Content ("Output Images"). You may use Output Images commercially — including on Instagram, WhatsApp catalogs, e-commerce listings, and print materials — without restriction.

Vastram Studio retains no ownership claim over your Output Images.

5.3 Our Intellectual Property

All software, user interface designs, algorithms, trademarks, and brand assets of Vastram Studio are and remain the exclusive property of Vastram Studio. Nothing in these Terms grants you a right to use our name, logo, or trademarks without prior written permission.

6. AI-Generated Content — Important Disclaimers

• Model figures are entirely AI-generated. Images produced by Vastram Studio show artificially generated human figures. They are not photographs of real people. No real model, person, or likeness is used without consent, and you must not represent generated images as photographs of real individuals.
• Fabric accuracy is not guaranteed. While the AI attempts to preserve the color, texture, and pattern of your input fabric, AI-generated outputs may not perfectly reproduce every detail. We strongly recommend adding real fabric swatches or close-up photos alongside catalog images in your buyer communication.
• Commercial use responsibility. You are solely responsible for ensuring that any Output Images you use in marketing accurately represent the products you sell. Using Output Images that materially misrepresent products may violate Indian consumer protection law (Consumer Protection Act, 2019). We are not liable for any such misrepresentation.
• No guarantee of uniqueness. Because multiple users may provide similar fabric inputs, generated outputs may resemble those of other users. We do not guarantee the uniqueness of any Output Image.

7. Prohibited Activities

You must not:

• Resell, sublicense, or white-label access to the Service without our prior written consent.
• Use automated bots, scripts, or tools to generate images at a rate that exceeds normal human usage or to scrape Service data.
• Attempt to access other users' accounts, data, or generated images.
• Interfere with or disrupt the Service, its servers, or networks.
• Circumvent any technical measures designed to limit or control access, including credit limits.
• Use the Service to generate content that is defamatory, obscene, or otherwise unlawful under Indian law.
• Upload malware, viruses, or any harmful code.

Violation of these prohibitions may result in immediate account termination without refund and, where appropriate, legal action.

8. Termination

8.1 By You

You may close your account at any time by contacting hello@vastramstudio.com or through account settings. Closing your account terminates your subscription at the end of the current billing cycle and results in the deletion of your data as described in our Privacy Policy.

8.2 By Vastram Studio

We may suspend or terminate your account immediately, without notice or refund, if we determine in our sole discretion that you have breached these Terms, engaged in fraudulent activity, or if required by law. We may also terminate accounts that have been inactive for more than 12 consecutive months, with 30 days' advance notice.

8.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Any provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. AI-generated output quality may vary.

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Vastram Studio and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

In any event, our total aggregate liability to you for all claims arising under or related to these Terms shall not exceed the amount you paid to us in the 3 months immediately preceding the event giving rise to the claim, or ₹1,000, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vastram Studio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your violation of these Terms; (b) your User Content; (c) your use of Output Images in a manner that infringes third-party rights or violates applicable law; or (d) any misrepresentation you make to buyers or consumers.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved by good-faith negotiation within 30 days shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India. The language of arbitration shall be English.

Nothing in this clause prevents either party from seeking emergency injunctive or other equitable relief from a competent court to prevent irreparable harm.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not accept the new Terms, you must stop using the Service and may cancel your subscription without penalty before the effective date.

14. Miscellaneous

• Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vastram Studio regarding the Service.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.
• Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor entity in the event of a merger, acquisition, or sale of assets.
• Force majeure: We are not liable for failures caused by circumstances beyond our reasonable control, including internet outages, third-party service failures, natural disasters, or government actions.
